These Terms of Use (“Terms”) govern your access to and use of Hoffra’s websites, awareness hub, forms, and related online services (collectively, the “Site”). By using the Site, you agree to these Terms.

Medical & PHI notice: Content on the Site is educational only and not a substitute for professional medical advice. Do not submit protected health information (PHI) or other sensitive data via the Site. If a program requires patient data, it will be handled under separate agreements and secure channels.

1) Use of the Site

You agree to use the Site only for lawful purposes and in accordance with these Terms. You must not:

• Violate any applicable laws or regulations.

• Access or collect data through unauthorized means (including scraping, crawling, or automated tools) or bypass access controls.

• Introduce malware or otherwise disrupt or degrade the Site’s functionality or security.

• Impersonate any person or entity or misrepresent your affiliation.

• Use the Site to provide emergency advice or clinical instructions to patients.

We may suspend or terminate access if we believe you have violated these Terms or applicable law.

2) Eligibility

You must be at least the age of majority in your jurisdiction to use the Site. If you use the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3) Accounts & Communications

If you create an account or submit forms, you agree to provide accurate information and keep it updated. We may send administrative messages related to your inquiries or account. You may opt out of non-essential emails at any time (see our Privacy Policy).

4) Intellectual Property

All content on the Site—including text, graphics, images, logos, icons, software, and layouts—is owned by or licensed to Hoffra and protected by intellectual property laws. Except as expressly allowed by law, you may not copy, reproduce, modify, distribute, publicly display, or create derivative works without our prior written consent.
“Hoffra” and related marks are trademarks or service marks of Hoffra. All other marks are the property of their respective owners.

5) User Content & Feedback

If you submit content (e.g., messages, attachments, feedback), you grant Hoffra a non-exclusive, worldwide, royalty-free license to use, reproduce, and prepare derivative works of that content solely to operate the Site, respond to your inquiry, or improve our services. Do not submit confidential or proprietary information unless requested.
You represent that you have all rights necessary to submit the content and that it does not infringe or violate any third-party rights or laws.

6) Product & Program Information

Information on the Site is general and may not reflect local availability, labeling, or regulatory status. Regulated items are supplied only to appropriately licensed entities and in accordance with applicable laws. Nothing on the Site constitutes an offer to sell in any jurisdiction where such activity is restricted.

7) Third-Party Links & Services

The Site may link to third-party websites or services. Hoffra does not control and is not responsible for third-party content, policies, or practices. Accessing third-party services is at your own risk.

8) Service Availability & Changes

We strive for high availability but do not guarantee the Site will be uninterrupted or error-free. We may modify, suspend, or discontinue the Site or any feature at any time without notice.

9) Privacy

Your use of the Site is also governed by our Privacy Policy. Please review it to understand how we collect, use, and safeguard information.

10) Disclaimers

THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, HOFFRA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE SECURE, ERROR-FREE, OR MEET YOUR REQUIREMENTS.

11) Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HOFFRA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF THE SITE—EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN ALL CASES, HOFFRA’S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE SHALL NOT EXCEED USD 100 OR THE AMOUNT YOU PAID (IF ANY) FOR THE RELEVANT SERVICE IN THE 12 MONTHS BEFORE THE CLAIM AROSE, WHICHEVER IS GREATER.

12) Indemnification

You agree to defend, indemnify, and hold harmless Hoffra, its affiliates, and their officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your: (a) use of the Site; (b) violation of these Terms; or (c) infringement of any third-party right.

13) Compliance & Trade Controls

You agree to comply with all applicable trade, sanctions, and anti-corruption laws in connection with your use of the Site and any resulting engagements.

14) Governing Law & Dispute Resolution

These Terms are governed by the laws of United Arab Emirates, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction and venue of the courts located in Sharjah, UAE (unless applicable law requires otherwise).
If permitted by law, the parties agree to first attempt to resolve disputes informally in good faith for 30 days before pursuing formal proceedings.

15) Changes to These Terms

We may update these Terms from time to time. The “Effective date” will reflect the latest version. Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms.

16) Miscellaneous

If any provision is held invalid, the remaining provisions will remain in full force. Our failure to enforce any right is not a waiver. You may not assign these Terms without our prior written consent; we may assign them as part of a reorganization or combination.
